Void outside the 50 United States and where prohibited. Do not proceed to enter if you are not at least 18 years of age and a legal resident of, and located within, one of the 50 United States or the District of Columbia at the time of entry. NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.
AGREEMENT TO OFFICIAL RULES:
Participation in this Promotion constitutes entrant’s full and unconditional agreement to these Official Rules and the Sponsor’s decisions, which are final and binding in all matters related to this Promotion. Winning a Prize is contingent upon fulfilling all requirements set forth herein and winners are subject to the Official Rules of this Promotion. In the event that any winner is found to be in violation of these Official Rules or is otherwise determined by either the Sponsor in its sole discretion to be ineligible, he/she/it may be required to forfeit the Prize or to reimburse the Sponsor for the stated value of a Prize if such a violation is found after costs have been incurred on behalf of a winner.
PROMOTION PERIOD: Parker & Entreprenista Media Sweepstakes (“Promotion”) begins at 12 a.m. ET on 12/11/24 and ends at 11:59 p.m. ET on 12/18/24 (the “Promotion Period”). The Promotion will consist of a random drawing sweepstakes (“Sweepstakes”). This Sweepstakes is not sponsored, endorsed or administered by Instagram. The Sponsor reserves the right to modify, extend, suspend, or terminate the Sweepstakes, in whole or in part, if it determines, in its sole discretion, that the Sweepstakes is technically impaired or corrupted or that fraud or technical problems, failures, or malfunctions or other causes beyond Sponsor's control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play, and/or feasibility of the Sweepstakes as contemplated herein.
SPONSOR: This promotion is conducted by Entreprenista Media (“Sponsor” or “Adminstrator”). Parker’s role is limited to sponsorship of the prize. Nothing in these Sweepstakes rules creates a partnership or joint venture with Parker.
HOW TO ENTER THE SWEEPSTAKES:
An entrant may enter the Sweepstakes by following these instructions: During the Promotion Period, navigate to the following landing page and complete the application here: https://www.entreprenista.com/giveaways/parker to submit an entry (a “Sweepstakes Entry”). Entrants must be a valid business as further described below, and an authorized officer must complete the full form including their first name, last name, email address, phone number (not a required field), company name, company website, content management system (CMS, not a required field) and monthly revenue to enter the Sweepstakes. This is the only way to enter the Sweepstakes. By following the instructions above each entrant will receive one (1) Sweepstakes Entry.
There is no cost to enter. Sweepstakes Entries generated by script, macro or other automated means or practices, or by any means which subvert the entry process will be void. All Sweepstakes Entries must be received during the Promotion Period.
SWEEPSTAKES ENTRY REQUIREMENTS:
Sweepstakes Entries may not contain, as determined by the Sponsor, in its sole discretion, any content that: is sexually explicit or suggestive; unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; profane or pornographic; contains nudity;- promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing); promotes any activities that may appear unsafe or dangerous;- promotes any particular political agenda or message; is obscene or offensive; endorses any form of hate or hate group; defames, misrepresents or contains disparaging remarks about other people or companies; contains copyrighted materials owned by others (including photographs, sculptures, paintings, and other works of art or images published on or in websites, television, movies or other media); contains materials embodying the names, likenesses, or other indicia identifying any person, including, without limitation, celebrities and/or other public or private figures, living or dead, without permission; contains any individual other than the entrant, without permission; communicates messages or images inconsistent with the positive images and/or good will to which Sponsor wishes to associate; and/or violates any law.
By submitting a Sweepstakes Entry, you agree that your Sweepstakes Entry conforms to these Official Rules and that Sponsor, in its sole discretion, may disqualify your Sweepstakes Entry for any reason, including if it determines, in its sole discretion, that your Sweepstakes Entry fails to conform to these Official Rules in any way or otherwise contains unacceptable content as determined by Sponsor, in its sole discretion.
ELIGIBILITY:
E-commerce businesses, an authorized officer of which is a legal resident of the 50 United States or the District of Columbia, 18 years of age or older are eligible to enter, except employees of Sponsor, and any other organizations affiliated with the sponsorship, fulfillment, administration, prize support, advertisement or promotion of the Promotion and/or their respective agents, affiliates, subsidiaries and Immediate Family Members or Household members. “Immediate family members” shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses. “Household members” shall mean people who share the same residence at least three months a year.
To enter and be eligible to win, the Entrant must:
i) The Entrant must be a legal entity headquartered in the United States; and
ii) The Entrant must be a for-profit e-commerce enterprise registered and authorized to conduct business in the United States, with an annual revenue of at least $50,000 USD (fifty thousand dollars).
Administrator shall have the right at any time to require proof of identity and/or eligibility to participate in the Promotion. Failure to provide such proof may result in disqualification. All personal and other information requested by and supplied to Parker for the purpose of the Promotion must be truthful, complete, accurate and in no way misleading. Parker reserves the right, in its sole discretion; to disqualify the Entrant, should such the Entrant at any stage supply untruthful, incomplete, inaccurate or misleading personal or business details and/or information.
SWEEPSTAKES PRIZE:
On or around 12/18/24, one (1) winner will be selected by Sponsor at random from all valid Sweepstakes Entries received during the Promotion Period. To receive the Prize, the winner must sign up for a Parker account, and will receive a cash bonus of $10,000 (the “Prize”). The approximate retail value of the Prize is $10,000. The cash bonus will be deposited into the recipient’s Parker account. Participants may alternatively submit all information required in the Parker application, and mail a self-addressed, stamped envelope including all required information described herein, including wire details for a valid business account, to the Administrator. The odds of winning depend on the number of eligible entries received during the Promotion Period. Sponsor’s office computer will be the official time keeping device for the Promotion and for the determination of the Promotion Period.
WINNER NOTIFICATION:
The winner of the Prize will be notified via email submitted to the email address submitted with the Sweepstakes Entry. Return of prize or prize notification as undeliverable, failure to sign and return requested documentation within the specified time period, the inability of Sponsor to contact a potential winner within a reasonable time period or noncompliance with these Official Rules by any potential winner will result in disqualification. If any Entrant initially selected or drawn to be the Prize winner does not meet the eligibility requirements, then at Sponsor’s sole discretion, Sponsor may select another Entrant in the manner described above.. Prizes will be delivered approximately thirty (30) days from date of winner verification. Sponsor reserves the right to substitute any listed Prize for one of equal or greater value for any reason. Sponsor is not responsible for lost, stolen, or misdirected mail, and that the prize will not be replaced if it is not received by Winner.
TAXES. The Winner is solely responsible for the reporting and payment of all applicable federal, state, and local taxes (if applicable) associated with the receipt of the Prize, The Winner will be required to fill out and return an IRS W-9 tax form. All those who win a prize or prizes over a certain threshold value in any given year may be issued an IRS Form 1099 to report their winnings.
PRIVACY:
By entering the Promotion, you consent to use of your personal information (including your name, mailing address, and email address) by Sponsor, Parker, and its authorized agents, for the purposes of administering the Promotion and fulfilling the prizes to the winners, as well as for marketing purposes. Furthermore, by entering the Promotion, you consent to the sharing of your personal data, specifically your name and surname, only in the event that you are selected as the winner, with other participants for the purposes of announcing the winner and promoting the Promotion.
LICENSE FOR USE OF SWEEPSTAKES ENTRIES:
By submitting a Sweepstakes Entry, each entrant grants, and represents and warrants that the entrant has the rights and authority necessary to grant Sponsor and Parker an irrevocable, non-exclusive, fully sublicensable license and right to exploit, edit, modify, and distribute the Sweepstakes Entry and all elements of such Sweepstakes Entry in any and all media now known or hereafter devised, worldwide, in perpetuity without compensation, permission or notification to entrant or any third party.
OWNERSHIP OF ENTRIES: By submitting an Entry, you agree to be bound by these Official Rules and grant Sponsor and Parker an exclusive, fully paid-up and royalty-free, worldwide license to use, modify, delete from, add to, publicly perform, publicly display, reproduce and translate your Entry, including without limitation the right to distribute all or part of your Entry in any media formats through any media channels. By submitting an Entry, you consent to the use, by Sponsor or/and any additional brands participating in this promotion, its affiliates, subsidiaries, parents, and licensees, of your name, likeness, and image, in connection with the Event and Sponsor’s related marketing activities, in any media or format now known or hereafter invented, in any and all locations, without any payment to or further approval from you. You agree that this consent is perpetual and cannot be revoked. For uses beyond the consent that you grant above, you agree that Sponsor’s use of your personal data will be governed by the Privacy Policy posted on the Sponsor website.
ARBITRATION:
Except where prohibited by law, as a condition of participating in this Promotion, participant agrees that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Promotion, or any prizes awarded, shall be resolved individually, without resort to any form of class action; and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at a AAA regional office in New York, NY; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim punitive, incidental or consequential damages including attorney’s fees or any other damages, other than for participant’s actual out-of-pocket expenses (i.e., costs associated with participating in this Promotion), and participant further waives all rights to have damages multiplied or increased.
RELEASE, INDEMNIFICATION AND LIMITATION OF LIABILITY:
By participating in this Promotion entrants agree to release Sponsor, Parker, and any other organizations affiliated with the sponsorship, fulfillment, administration, prize support, advertisement or promotion of the Promotion and each of their respective parents, agents, affiliates, subsidiaries, advertising and promotion agencies, and prize suppliers, and each of the irrespective officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns(collectively, the “Released Parties”) from any and all actions, claims, cause of action, injury, loss or damage arising in any manner, in whole or in part, directly or indirectly, from participation in this Promotion and/or acceptance, use or misuse of any prize. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. Sponsor will not be responsible for: late, incomplete, or incorrect entries; an entrant's failure to receive Prize notices due to entrant's spam, junk e-mail, or other security settings or for entrants' provision of incorrect or otherwise non-functioning contact information; technical, hardware, or software malfunctions, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled, or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or used in this Promotion; by any human error which may occur in the processing of the entries in this Promotion; or any typographical, technological, or other error in the publishing of the offer, administration of the Promotion, or announcement of the Prizes. If, in the Sponsor’s opinion, there is such an error, or there is any suspected evidence of tampering with any portion of the Promotion, or if technical difficulties (including viruses and bugs) compromise the integrity of the Promotion, Sponsor reserves the right to cancel or modify this Promotion in a manner deemed appropriate by the Sponsor. In the event of termination, winners will be selected from among all eligible entries received as of date of termination. In the event a dispute arises as to the identity of a potentially winning entrant, entries will be declared made by the name on the online entry form.
MISCELLANEOUS:
Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, undelivered, garbled or misdirected Instagram posts; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Promotion, including, without limitation, errors or difficulties which may occur in connection with the administration of the Promotion, the processing of Sweepstakes Entries the announcement of the prizes, or in any Promotion -related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking or by any equipment or programming associated with or utilized in the Promotion. Released Parties are not responsible for injury or damage to participants’ or to any other person’s computer related to or resulting from participating in this Promotion or downloading materials from or use of the website. Sponsor reserves the right, in its sole discretion to disqualify any person tampering with the entry process, the operation of the web site or otherwise in violation of these Official Rules. Sponsor further reserves the right, in its sole discretion, to cancel, terminate or modify this Promotion if the Promotion is compromised by virus, technical corruption, and non-authorized human intervention. Sponsor reserves the right in its sole discretion to disqualify any individual it believes has tampered with the entry process. In the event of cancellation or termination, Sponsor reserves the right to select the Sweepstakes winners for each applicable Entry Period from among all eligible, non-suspect Sweepstakes Entries received for the Entry Period(s) at issue prior to date of cancellation or termination using the judging criteria specified above. In the event of a dispute regarding online entry, entry will be deemed made by the authorized account holder of the e-mail account associated with the entry and he/she must comply with these Official Rules. The “authorized account holder” is the natural person who is assigned the e-mail address by the Internet Service Provider (ISP), on-line service provider, or other organization responsible for assigning email addresses.
CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR WILL DISQUALIFY ANY SUCH INDIVIDUAL AND RESERVES THE RIGHT TO SEEK DAMAGES(INCLUDING ATTORNEYS’ FEES (AND OTHER REMEDIES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
Except where prohibited by law, entry constitutes permission to use each entrant's name, hometown (city and state), voice, biographical information, likeness, photograph and any statements regarding this Promotion is subject to all applicable U.S. federal, state and local laws and regulations.
